What is this all about?

Orocrypt is a physical asset digitization company, which consists of seasoned financial regulatory professionals, who want to make precious metal ownership easier. At this stage we are raising funds by offering equity in our company to the public, to start our operations.

Is ICO started?

ICO has already started and will be finished by the 14th of july

When will you add exchanges?

After the ICO closed we will select non US suitable exchanges to list the tokens. All major, high volume exchanges serving non-US persons will be approached will be added according to our roadmap.

What is token price?

The token price is 9 euro and its equivalent in Bitcoins and Ether.

What is minimum investment?

1 OROC (9 euro) in case of investing in cryptocurrency and 15 OROC (135 euro) if investing in euros using wire transfer.

What if you can't collect required minimum?

We would return all investments in case 1,2 million is not collected during token sale.

What are OROC tokens?

OROC tokens are share-tokens that represent shares within our company. OROC token holders can get dividends, voting rights, and rights to payout in case of acquisition or sale. 500.000 of our OROC tokens will sold at our ICO for 9 euros each.

How often would I get returns/dividents on my investment?

We currently intend to retain any future earnings for use in the operation of our business and do not intend to declare or pay any cash dividends in the foreseeable future. Any further determination to pay dividends on our capital stock will be at the discretion of our board of directors, subject to applicable laws, and will depend on our financial condition, results of operations, capital requirements, general business conditions, and other factors that our board of directors consider relevant.

As a growth company, there are no plans for Orocrypt to declare dividends. Companies like Facebook, Google, Amazon and many others do not pay dividends, yet they have been excellent investments. Bitcoin doens't pay dividends, still many investors have, and are, making fortunes with bitcoin and other cryptocurrencies.If business circumstances merit in the future a declaration of dividends by Orocrypt, these will be denominated in whatever form is the most advantageous to the shareholders. They could be either in euros, bitcoin, ether, gold, silver, etc.

What are ORO.G tokens?

ORO.G tokens are gold-based tokens that will be launched after the ICO once the required amount of funds will be raised. Each ORO.G token represents 30g of LMBA-compliant bullion gold.

What type of payment methods are accepted?

Investors can buy our tokens using either Bitcoin, Ether or Euros. The payment methods for each are as follows:

  • Euros - These must be via bank wire transfer to our bank account. Upon receipt of the funds, a balance will appear on the investor page and the corresponding number of share tokens will be allocated to his/her wallet. These tokens will be transferable upon completion of the share token sale.
  • Ether or Bitcoins - The investor will be able to send ether or bitcoin to his/her Orocrypt wallet address. A corresponding amount of share tokens will be credited to the investor’s wallet. Again, these tokens will be activated upon completion of the share token sale.

What is the difference between Class A shares and Class B shares?

Class A shares and Class B have similar economic benefits except for voting rights. Class A shares are owned by shareholders and each share provides one vote. Class B shares are owned by the Directors and each share gives right to ten votes. The two largest investors who purchase at least 56,0000 OROC tokens (which are Class A shares) will get the chance to be on the Board of Directors.

What is the equity structure of the company?

Our Equity structure looks like this :

  • We have a total of 1,112,000 shares
  • Class A shares make up 76% of the total issued shares
  • Class B shares represent 24% of the total issued shares, and are owned by the directors
  • 500,000 tokens (45%) Class A shares will be sold at our token sale as OROC tokens
  • Rest 31% of shares are allocated to treasury, rewards, payments for services, and employees participation

What makes Orocrypt Inc. different from other companies?

  • We have a ton of traditional financial and regulatory experience, which is more then any of the competitors combined.
  • Gold will be stored in multiple vaults.
  • We have done actual legal due diligence.

Is the ICO available to US buyers?

No, unfortunately, OROC token are unavailable to US buyers due to jurisdiction rulings. We will keep you updated if there are any changes.

How does Orocrypt plan to generate revenue?

Our gold-based tokens will be the main source of revenue. A 1% commission fee will be charged over gold spot price on all sales of one token or more and a .04 % fee when they are transferred between wallets. Fees for less than one Token will be:

  • 5% for purchases between 0.9 and ½ token
  • 10% for purchases between ½ and 0.1 Token

How does one physically redeem their gold tokens?

Clients who wish to redeem their tokens by taking physical delivery of their gold must make direct arrangements with Orocrypt. The company will arrange to deliver the bullion either to the client’s registered address or to be collected directly by the client at their chosen vault. All physical delivery expenses will be paid by the client. Estimates of delivery costs can be requested to the company.

Does Orocrypt only offer gold-based tokens?

As of now, we will start off by offering gold-based tokens. However our future endeavours include extending the Orocrypt concept to other precious metals such as silver, platinum and other bespoke metals.

How is Orocrypt storing their bullion?

The physical gold will be stored in secure vaults around the world. We already have vaults in the Swiss Gold Safe, Cayman Islands, Hong Kong, and Liechtenstein.Our form of decentralized storage reduces single storage failure and any government action that can put your assets at risk.

How do Investors register to buy OROC tokens?

In order to buy share-tokens, each investor will need to register. We cannot allow participation of US persons. All eligible participants will be required to provide information in line with our anti-money-laundering and know-your-customer (AML/KYC) regulations. What is the difference between Class A shares and Class B shares?

What is Orocrypt planning to do with the funds raised from the ICO?

We plan to use the net proceeds from our initial public offering for working capital and other general corporate purposes. Additionally, we may use a portion of the proceeds for acquisitions of technologies, or other assets. Pending other uses, we intend to invest the proceeds to us in good delivery grade bullion gold or silver, interest-bearing securities such as money market funds, certificates of deposit, bitcoin, ether or hold as cash.

Who are the sellers of the bullion gold?

Rheingold-Edelmetalle AG, Liechtenstein and Byzantium International Ltd., Cayman Islands will be the sellers of bullion to Orocrypt. Other bullion providers in Singapore and Australia are currently under negotiation.

What are the different type of smart contracts orocrypt will employ as part of their operations and how will security be ensured?
  • Smart contracts will be published to the Ethereum blockchain by the company to issue, distribute and manage a quantity of tokens.

  • The sale contract will monitor how many tokens have been purchased, as well as the addresses that own them. It also governs how tokens are transferred and will require multiple signatures to be published and activated on the Ethereum blockchain. This MultiSig setup will require two-out-of-four signatures, to which designated board members hold the keys.

  • The first Smart Contract will represent the proof of ownership of 30 grams of fine gold. It will also have the capability to deduct the wallet to wallet transfer fees of 0.04% (four basis points) and the storage and insurance costs. These are 0.5% per year calculated daily.

How are storage fees applied?

The storage costs will not apply to the first ORO.G sales up to an aggregate amount of EUR 5 million. These will have storage fees deactivated for three years as a reward to initial clients of Orocrypt.After that storage costs will be calculated as 0.5% per year.

Are there fractional OROC share-tokens?

No, there are no fractional shares. Any payments received that results in a fraction of 9, will be allocated tokens to the maximum calculated amount and the excess will be sent to the following charities:

  • Natural Resources Defense Council
  • The National Anti-Vivisection Society
  • Opportunity International
Does the company have a physical office?

The company currently has a representative office in Panama. After the ICO, the company will have an office. The CEO will be working from that office as well as the future marketing staff, the IT team and the back office and administration team. Servers will be physically located at the office.
